1. Acceptance of Terms
By accessing or using the Dhivin Digital Agency website (dhivin.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
Dhivin Digital Agency provides digital marketing, web development, mobile app development, design, and related services as described on our website and agreed upon in individual service agreements. Specific deliverables, timelines, and pricing are defined in project proposals or statements of work signed by both parties.
3. Payment Terms
- •Project fees are outlined in individual proposals and must be agreed upon in writing
- •A deposit (typically 50%) is required before project commencement
- •Remaining payment is due upon project completion or as per the agreed payment schedule
- •Monthly retainers are billed at the start of each month
- •Late payments may incur a 2% monthly interest charge
4. Intellectual Property
Upon full payment, clients receive full ownership of all custom deliverables created specifically for their project. We retain the right to:
- •Display completed work in our portfolio
- •Use general methodologies and knowledge gained
- •Retain ownership of proprietary tools and frameworks developed independently
5. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. We will not disclose client business information, data, or strategies to third parties without explicit consent.
6. Limitation of Liability
To the maximum extent permitted by law, Dhivin Digital Agency's total liability for any claims arising from our services is limited to the total amount paid by the client in the 3 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
7. Termination
Either party may terminate ongoing engagements with 30 days' written notice. Work completed up to the termination date will be invoiced and payable. Project-based agreements are bound by the terms in the individual statement of work.
8. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Mohali, Punjab, under the Arbitration and Conciliation Act, 1996.
9. Changes to Terms
We reserve the right to update these terms at any time. Continued use of our website or services following changes constitutes acceptance of the updated terms.
